11. Indemnification
You shall indemnify

to, fees and disbursements of counsel

Your failure to perform any obligation

to the extent such costs, damages, expenses
and losses are incurred by 3W Design
solely due to the gross negligence of
3W Design, (iii) any violation of any
rights of a third party, (iv) any violation

12. Termination and Modification
3W Design may at any time suspend, terminate

You and 3W Design are
independent contractors and not agents
of the other for any purpose. Neither
You nor Vortex may act for the other
or incur any indebtedness, liability
or obligation on behalf of the other.
15. Force Majeure
3W Design will not be liable to You for
any failure or delay in the performance
of an obligation pursuant to these terms
and conditions to the extent such failure
or delay is caused by circumstances beyond
its reasonable control (including, but
not limited to, earthquake, fire, flood
or other casualty, an act of God, a strike,
lockout or other labour dispute, war,
embargo, blockade, legal restriction,
riot, insurrection or governmental action).
16. Governing Law
These Terms shall be
governed by, and shall be interpreted
and enforced in accordance with, the
internal law of the UK, without regard
to principles of conflict of laws.
17. Severability
If any provision of this Use Agreement
shall be deemed unlawful, void, or for
any reason unenforceable, then that provision
shall be deemed severable from these
terms and conditions and shall not affect
the validity and enforceability of any
remaining provisions.
18. No Third-Party Beneficiaries
No individual or entity
is a third-party beneficiary to this
Agreement. Each provision of this Agreement
may be enforced only by 3W Design or
You or, to the extent permitted by this
Agreement, any successor or assignee
of 3W Design or You.
19. Miscellaneous
These terms and conditions
constitute the entire agreement between
You and 3W Design with respect to the
subject matter of these Terms, and supersede
all prior oral and written proposals,
representations, understandings and agreements.
